lessor (hereinafter referred to as party a):
lessee (hereinafter referred to as party b):
party a and b have reached an agreement through friendly consultation to conclude the following contract.
1. location of the premises
party a will lease to party b the premises and attached facilities owned by itself which is located at

5. deposit
1) guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party b will pay to party a as a deposit before_________(month) (day) (year). party a will issue a written receipt after receiving the deposit.
2) unless otherwise provided for by this contract, party a will return full amount of the deposit without interest on the day when this contract expires and party b clears the premises and has paid all due rental and other expenses.

6. obligations of party_____________

2) in case the premise and attached facilities are damaged by quality problems, natural damages or accidents, party a will be responsible to repair and pay the relevant expenses. if party a can‘t repair the damaged facilities in two weeks so that party b can’t use the facilities normally, party b has the right to terminate the contract and party a must return the deposit.
3) party a will guarantee the lease right of the premises……in case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party b, .party a shall quarantce that the new owner,and other associated ,third parties shall be bound by the terms of this contract.otherwise, party a will be responsible to compensate party b‘s losses.
4) party a must register this contract with the relevant government authority if not doing so resulting that this contract is invalid or party b‘s right of leasing may be damaged , party a should take the all responsibilities. party a should also bear the all the relevant taxes.
7. obligations of party b
1) party b will pay the rental and the deposit on time.
2) party b may add new facilities with party a‘s approval. when this contract expires, party b may take away the added facilities without changing the good conditions of the premises for normal use.
3) party b will not transfer the lease of the premises or sublet it without party a‘s approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4) party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it
5) party b will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.
8. termination and dissolution of the contract
1) within one month before the contract expires, party b will notify party a if it intends to extend the lease. in this situation, two parties will discuss matters over the extension.under the same terms party b has the priority to lease the premises.
2) when the lease term expires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party a‘s previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection.
3) this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another party‘s agreement. anything not covered in this contract will be discussed separately by both parties.
9. breach of the contract
1) during the lease term, any party who fails to fulfill any article of this contract without the other party‘s understanding will be deemed to breach the contract. both parties agree that the default fine will be . in case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
2) both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. in case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.

五、保證金deposit
1. 為確保房屋及其附屬設(shè)施之安全與完好，及租賃期內(nèi)相關(guān)費(fèi)用之如期結(jié)算，乙方同意于______年_____月_____日前支付給甲方保證金人民幣 _________元整，甲方在收到保證金后予以書(shū)面簽收。

六、甲方義務(wù)obligations of party a

2. 房屋設(shè)施如因質(zhì)量原因、自然損耗或?yàn)?zāi)害而受到損壞，甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。
in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair and pay the relevant expenses.
3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利，反之如乙方權(quán)益因此遭受損害，甲方應(yīng)負(fù)賠償責(zé)任。
party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party bs losses.
七、乙方義務(wù)obligations of party b
1. 乙方應(yīng)按合同的規(guī)定按時(shí)支付定金、租金及保證金。
party b will pay the rental, the deposit and other expenses on time.
2. 乙方經(jīng)甲方同意，可在房屋內(nèi)添置設(shè)備。租賃期滿(mǎn)后，乙方將添置的'設(shè)備搬走，并保證不影響房屋的完好及正常使用。
party b may decorate the premises and add new facilities with party as approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
3. 未經(jīng)甲方同意，乙方不得將承租的房屋轉(zhuǎn)租或分租，并愛(ài)護(hù)使用該房屋如因乙方過(guò)失或過(guò)錯(cuò)致使房屋及設(shè)施受損，乙方應(yīng)承擔(dān)賠償責(zé)任。
party b will not transfer the lease of the premises or sublet it without party as approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋，不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則，如該房屋及附屬設(shè)施因此受損，乙方應(yīng)承擔(dān)全部責(zé)任。

5. 乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電訊、收視費(fèi)、等一切因?qū)嶋H使用而產(chǎn)生的費(fèi)用，并按單如期繳納。
party b will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.
八、合同終止及解除的規(guī)定termination and dissolution of the contract
1. 乙方在租賃期滿(mǎn)后如需退租或續(xù)租，應(yīng)提前兩個(gè)月通知甲方，由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。
within two months before the contract expires, party b will notify party a if it intends to extend the leasehold. in this situation, two parties will discuss matters over the extension.
2. 租賃期滿(mǎn)后，乙方應(yīng)在當(dāng)天將房屋交還甲方；任何滯留物，如未取得甲方諒解，均視為放棄，任憑甲方處置，乙方?jīng)Q無(wú)異議。

九、違約及處理breach of the contract

4.4: If Force Majeure (such as earthquake, typhoon, flood, non-man-made fire, government order etc.)cause to terminating the contract, THE LESSEE and THE LESSOR should be free of duty.
因洪水、地震、或政府拆遷、征用等不可抗力原因，造成雙方不得不中止合同，雙方不承擔(dān)違約責(zé)任，按實(shí)際天數(shù)計(jì)算房租。
4.5：In case that the property ownership is transferred during the lease, THE LESSEE has the right to continue to use the said premises according to the contract without any disturbance from THE LESSOR or any the third party.
在租賃期間，甲方的房屋所有權(quán)發(fā)生轉(zhuǎn)移，乙方有權(quán)繼續(xù)主張本合同的權(quán)利和義務(wù)，甲方及第三方不能損害乙方的權(quán)利和義務(wù)。
5：Lease Term租賃條件:
5.1: These premises are limited of residential use only by THE LESSEE, and are prohibited from registering as legal address for any company or agency, or using as public office.乙方不得將該房屋用作公司或代表處的.注冊(cè)地址。
5.2：THE LESSEE shall not carry in the premises any unlawful of illegal activities which are not allowed according to China laws and the leasing regulations of the government. Otherwise, THE LESSOR shall have the right to take back the premises after a prior written notice to THE LESSEE.
乙方不得在出租房屋內(nèi)進(jìn)行違反中國(guó)法律及政府對(duì)出租房屋用途有關(guān)規(guī)定的行為，否則甲方有權(quán)在書(shū)面通知乙方后收回房屋。
5.3：THE LESSEE shall not partly or totally sublet, sell, lend, mortgage, exchange, exchange the said premises or use it so as to raise any joint-venture or become a certain shareholder without the written permission from THE LESSOR. Otherwise, THE LESSOR can terminate the contract and confiscate the deposit. THE LESSEE and the third party shall return the property unconditionally to THE LESSOR. THE LESSEE shall bear all the responsibilities caused herefrom.
未經(jīng)甲方書(shū)面同意，乙方不得將出租房屋轉(zhuǎn)租、分租、轉(zhuǎn)讓、轉(zhuǎn)借、聯(lián)營(yíng)、入股、抵押或與他人調(diào)劑交換使用，否則甲方有權(quán)終止合同并

Delayed payment more than 15 days shall be regarded as a breach of the contract, THE LESSOR shall have the right to take back the premises after a prior written notice to THE LESSEE, and THE LESSEE shall bear all the responsibilities caused by such breach.
乙方應(yīng)按時(shí)支付因租用該出租房屋而產(chǎn)生的有關(guān)費(fèi)用，包括：水費(fèi)、電費(fèi)、煤氣費(fèi)、暖氣費(fèi)、存車(chē)費(fèi)、電話(huà)費(fèi)和有線(xiàn)電視收視費(fèi)、物業(yè)管
理費(fèi)、發(fā)票稅金等費(fèi)用。如經(jīng)甲方催促，乙方仍欠交費(fèi)用，超過(guò)15天，甲方有權(quán)收回房屋，并由乙方承擔(dān)一切違約責(zé)任。
5.5：The damage of the premises or the fittings that is within the control of THE LESSEE shall be borne by THE LESSEE,
and THE LESSEE shall contact the management office or THE LESSOR instantly. If THE LESSEE refuses to compensate or to contact the management office to repair, THE LESSOR shall have the right to repair and charge the cost from THE LESSEE. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood, non-man-made fire, etc.), reasonable wear and tear or by accidents beyond THE LESSEE"s control, should be borne by THE LESSOR.
因乙方使用不當(dāng)，房屋及其內(nèi)的設(shè)施出現(xiàn)損壞，乙方應(yīng)及時(shí)聯(lián)絡(luò)管理機(jī)構(gòu)進(jìn)行維修，并負(fù)擔(dān)有關(guān)維修費(fèi)用。若乙方拒不維修或賠償，甲方有權(quán)代為維修，維修所需費(fèi)用由乙方承擔(dān);但由于不可抗力，如地震、臺(tái)風(fēng)、洪水、非人為的火災(zāi)等，自然損耗或乙方以外的原因造成的損壞，由甲方承擔(dān)有關(guān)費(fèi)用。
5.6：THE LESSEE, upon written permission of THE LESSOR, may make additions or alterations dealing with water, electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of THE LESSOR. No structural alterations can be removed from the premises, upon expiration or termination of this contract. No reimbursement for said additions, and any structural damage to the premises must be repaired or compensated by THE LESSEE.
租賃期內(nèi)，乙方對(duì)出租房屋進(jìn)行裝修或增加設(shè)施須征得甲方同意并經(jīng)政府有關(guān)部門(mén)批準(zhǔn)，并由甲方執(zhí)行監(jiān)理，所需費(fèi)用由乙方承擔(dān)。雙方解約時(shí)，乙方不能移走自行添加的結(jié)構(gòu)性設(shè)施，甲方亦不必對(duì)上述添加設(shè)施進(jìn)行補(bǔ)償。如損壞原有之設(shè)施，由乙方負(fù)責(zé)修復(fù)或賠償。
5.7：THE LESSEE shall obey the regulations made by the management office such as not to litter or take any private use of public area and etc.
租用房屋之內(nèi)部衛(wèi)生，設(shè)施保養(yǎng)、維護(hù)均由乙方負(fù)責(zé)。乙方不得占用公共場(chǎng)所及通道作任何用途。
5.8：THE LESSEE shall have the right to move in after paying off the deposit and the first term of rental.
乙方在付清押金，首期租金后即可入住。
5.9：In case there is a cut of water, power or any other hitch which is caused by the accident beyond the control of THE LESSEE, THE LESSOR shall take the responsibility to assist and push the authorities concerned to repair and resume it as soon as possible.若由于甲方以外原因?qū)е鲁鲎夥课萃Ｋｋ娀蚱渌收希追接辛x務(wù)敦促并協(xié)助有關(guān)部門(mén)搶修，使之盡快得以恢復(fù)。
5.10：THE LESSEE shall not store in or out of the premises any inflammable or dangerous thing, nor let any corrosive or dirty thing come out of the premises.
乙方須做好安全及防火工作，不得在房屋內(nèi)外存儲(chǔ)或排放有害，腐蝕性或污臭物質(zhì)，嚴(yán)禁存儲(chǔ)易燃，易爆品。
5.11：Insurance: THE LESSOR will retain insurance on his property and belongings, and THE LESSEE will be responsible for his own property brought into or kept in proximity of the premises. If there is anything lost, THE LESSOR shall assist to conduct investigations, but has no responsibility to compensate it.
乙方須負(fù)責(zé)好自己帶來(lái)的財(cái)物，妥善保管，如有意外，甲方可協(xié)助調(diào)查，但不負(fù)責(zé)賠償。
5.12：THE LESSEE shall return the property intact to THE LESSOR at the expiration of the contract if there is no renewal thereupon. THE LESSOR shall have the right to take any effective measures to take back the premises in case that THE LESSEE refuses to move out at the expiration of the contract.
租賃期滿(mǎn)，若甲、乙雙方未達(dá)成續(xù)租協(xié)議，乙方應(yīng)于租期屆滿(mǎn)時(shí)或之前遷離出租房屋并將鑰匙及房屋按租用時(shí)之狀況歸還甲方。若乙方逾期不遷離或不歸還出租房屋，則甲方有權(quán)采取有效措施收回出租房屋并另行處理。

LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the
responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.
(18) 質(zhì)量/數(shù)量異議：對(duì)于質(zhì)量方面的異議，買(mǎi)方必須在貨物抵達(dá)目的港后30天之類(lèi)提出：對(duì)于數(shù)量方面的異議，買(mǎi)方必須在貨物抵達(dá)目的港后15天之內(nèi)提出。對(duì)由于保險(xiǎn)公司、運(yùn)輸公司、其他運(yùn)輸機(jī)構(gòu)或郵局的原因所造成的.貨物差異，賣(mài)方不負(fù)任何責(zé)任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.
(19) 不可抗力：賣(mài)方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣(mài)方不能預(yù)料、無(wú)法控制且不能避免和克服的.事件。但賣(mài)方因盡快地將所發(fā)生的事件通知對(duì)方，并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的`不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。
FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.
(20) 仲裁：因履行本合同所發(fā)生的一切爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān)，但仲裁委員會(huì)另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。
ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and
Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. 8.宣傳廣告費(fèi)用

9.協(xié)議有效期

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached， the case in dispute shall then be submitted to the foreign trade arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decision made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party ，unless otherwise awarded.
11.其他條款
other terms & conditions
（1）甲方不得向經(jīng)銷(xiāo)地區(qū)其他買(mǎi)主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢(xún)價(jià)，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買(mǎi)主希望從甲方直接訂購(gòu)，甲方可以供貨，但甲方須將有關(guān)銷(xiāo)售確認(rèn)書(shū)副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方_________％的傭金。

5.Social Security & Welfare
a.The Employer will pay for all mandatory social security programs such pension insurance, unemployment insurance, medical insurance of the Employee according to the relevant government and city regulations.
b.During the period of the Contract, the Employee’s welfare shall be implemented accordance with the laws relevant regulations of P.R.C.
6.Working Protection & Working Conditions
a.The Employer should provide the Employee with occupational safety and health conditions conforming to the provisions of the State and necessary articles of labor protection to guarantee the safety and health during the working process.
b.The Employer should provide the Employee with safety education and technique training; The Employee to be engaged in specialized operations should receive specialized training and acquire qualifications for such special operations.
c. The Employee should strictly abide by the rules of safe operation in the process of their work.
7.Labour Discipline
a.The Employer may draft bylaws and labour disciplines of the Company, According to which, theEmployer shall have the right to give rewards or take disciplinary actions to the Employee;
b.The Employee shall comply with the management directions of the Employer and obey the bylaws and labour disciplines of the Employer.
c.The Employee shall undertake the obligation to keep and not to disclose the trade secret for theEmployer during the period of this Contract; This obligation of confidentiality shall survive thetermination of this Contract for a period of two (2)years.
8.Termination, Modification, Renew and Discharge of the Contract
a. The relevant clauses of the Contract may be modified by the parties:
i.The specific clause is required to be modified by the parties through
ii.Due to the force majeure, the Contract can not be executed;
iii.The relevant laws and regulations have been modified or abolished by the time of signing the.
b.The Contract may be automatically terminated:
i) This Contract is not renewed at the expiration of this Contract;
ii) The Employer is legally announced to be bankruptcy, dismissed, or canceled;
iii)The death of the Employee occurs;
iv) The force majeure takes place;
v)The conditions of termination agreed in the Contract by the parties arise.
c.The Contract may be renewed at the expiration through consultation by the parties with the fulfillment of the procedure within 15 days to the expiration;
d. The Contract may be discharged through consultation by the parties;
e.The Contract may be discharged by the Employer with immediate effect and the Employee will not be compensated:
i.The Employee does not meet the job requirements during the probationaryperiod;
ii.The Employee seriously violates disciplines or bylaws of the Employer;
iii.The Employee seriously neglects his duty, engages in malpractice for selfish ends and brings
significant loss to the Employer;
iv.The Employee is being punished by physical labour for its misfeasance

f.The Contract may be terminated by the Employer by giving notice in written form 30(thirty) days in advance:
i.The Employee fails ill or is injured to (other than due to work) and after completion of medical
treatment, is not able to perform his previous function or any other function the Employer assigns to him;
ii.The Employee does not show satisfactory performance and after training and adjusting measures is still not able to perform satisfactorily;
iii.The circumstances have materially changed from the date this Contract was signed to the extent that it is impossible to execute the Contract provided, however,that the parties cannot reach an agreement to amend the contract to reflect the changed circumstances.
iv.The Employer is being consolidated in the legal consolidation period on the brink of bankruptcy or the situation of business is seriously in trouble, under such condition, it is required to reduce the
g.The Employee shall not be dismissed :
i. The Contract has neither expired nor conformed to 8.d,8.e,8.f,8.g;
ii.The Employee is ill with occupational disease or injured due to work and has been authenticated fully or partly disabled by the Labour Authentication Commission in Baodi County, Tianjin.
iii. The Employee is ill or injured (other than due to work) and is within the period of medical leave provided for by applicable PRC law and regulations and Company policy;

五、【爭(zhēng)議解決】
6DISPUTE SETTLEMENT

Force Majeure：

Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. 鑒于甲方從事之經(jīng)營(yíng)項(xiàng)目的特殊性，甲乙雙方根據(jù)有關(guān)法律、法規(guī)規(guī)定、在遵循平等自愿、協(xié)商一致、誠(chéng)實(shí)信用的原則下，就乙方在任職期間以及離職后的有關(guān)事項(xiàng)達(dá)成如下協(xié)議：Whereas Party A engaged in the business view of the special nature of the project, both parties in accordance with relevant laws and regulations, in compliance with equality, voluntariness, consensus, under the principle of good faith, during party B’s tenure and after leaving , the matter reached the following agreement:
第一條保密
Item 1 Confidentiality
乙方承諾，在本協(xié)議約定的保密期內(nèi)，嚴(yán)格按照本協(xié)議的保密內(nèi)容以及公司的保密制度 履行保密義務(wù)。For the term of this agreement, Party B promise to strictly fulfill confidentiality obligations, according to the confidentiality content & company’s confidentiality policy.

Item 2 Confidentiality Content
2.1 不為公眾知悉，能為甲方帶來(lái)經(jīng)濟(jì)利益，具有實(shí)用性并經(jīng)權(quán)利人采取保密措施的技術(shù)信息和經(jīng)營(yíng)信息，包括但不限于：專(zhuān)有技術(shù)及配方、新產(chǎn)品研發(fā)過(guò)程及成果、經(jīng)營(yíng)計(jì)劃及策略、財(cái)務(wù)狀況、客戶(hù)資料以及供應(yīng)商資料等。Technical and management information, which was not known by the public, can bring economic benefits to Party A, with practicality, and the right take security measures for, including but not limited to: intellectual property and formulations, new product development process and results, management plans and strategies, financial condition, customer data and vendor information, etc.
2.2 甲方已掌握并負(fù)有保密責(zé)任的第三者（如甲方的客戶(hù)或者供應(yīng)商）的`技術(shù)信息和經(jīng)營(yíng)信息，包括但不限于：專(zhuān)有技術(shù)及配方、新產(chǎn)品研發(fā)過(guò)程及成果、經(jīng)營(yíng)計(jì)劃及策略、財(cái)務(wù)狀況、客戶(hù)資料以及供應(yīng)商資料等等。Party A controls and has a duty of confidentiality to protect third
parties (such as the Party As customers or suppliers) of technical and management information, including but not limited to: intellectual property and formulations, new product development process and results, business plans and strategies, financial condition, customer data and vendor information, and so on.
2.3 甲方以書(shū)面或其他形式確定為商業(yè)秘密的.資料和信息。Data and information which Party A in writing or otherwise identified as trade secret.
第三條保密期限
Item 3 Confidentiality Period
3.1 除非甲方通過(guò)書(shū)面形式明確本協(xié)議所涉及的某項(xiàng)保密內(nèi)容可以不用保密，則乙方應(yīng)從與甲方建立勞動(dòng)關(guān)系之日起（包括試用期內(nèi)），無(wú)限期保守甲方之商業(yè)秘密。Unless Party A make sure in writing that a certain confidential content covered by this agreement can not be confidential , then Party B should keep the Party A ’s trade secret for ever from the date of labor relations (including probation).
第四條泄密
Item 4 Leakage of the Trade Secret
4.1 凡未經(jīng)甲方總經(jīng)理或保密委員會(huì)書(shū)面授權(quán)而直接或間接以任何形式向任何人或任何組織透露上述、涉及保密內(nèi)容的行為均屬泄密。Without the written authorization of the general manager or security committee of party A, behaviors of directly or indirectly, in any form to any person or organization to disclose the above the content, are related to confidential disclosure.
4.2 當(dāng)甲方將有關(guān)保密內(nèi)容的資料或信息交由乙方保管時(shí)，若因乙方保管不當(dāng)造成該資料或信息的`遺失、公開(kāi)、泄露時(shí)，同樣視為泄密。When Party A ask party B to keep relating to the contents of confidential data or information, if loss, publicity, disclosure caused by improper storage of the data or information, for party B, the same as a leak.
第五條違約責(zé)任
Item 5 Liability for Breach
5.1 如乙方行為造成泄密的，應(yīng)立即終止泄密行為以及因此而引致的侵犯甲方商業(yè)秘密的行為，積極協(xié)助甲方采取補(bǔ)救措施防止泄密范圍的繼續(xù)擴(kuò)大，并向甲方支付由于違約行為而照成的經(jīng)濟(jì)損失，該損失包括：直接損失、潛在損失以及權(quán)利人為主張權(quán)利而支付的費(fèi)用等。The trade secret leakage caused by the Party B’s behavior, those behavior should be immediately terminated and the acts of infringement on Party A ’s trade secrets should be immediately
terminated; Party B should actively assist the Party A to take remedial measures to prevent the continued expansion of the disclosure, due to the breach, Party B should pay to Party A according to the caused economic losses, the losses include: direct losses, potential losses and the expenses of the allegation.
5.2 若該泄密行為發(fā)生在甲、乙雙方勞動(dòng)合同關(guān)系存續(xù)期間，則乙方除承擔(dān)上述責(zé)任外，甲方還有權(quán)無(wú)條件解除與乙方的勞動(dòng)合同。If the leaks occurred during the term of the labor contract between Party A and Party B, In addition to assumption of these responsibilities by Party B, Party A has the right to unconditionally terminate the labor contract with Party B
第六條爭(zhēng)議解決
Item 6 Dispute Resolution
如因本協(xié)議之履行發(fā)生爭(zhēng)議，甲、乙雙方應(yīng)友好協(xié)商解決；協(xié)商不成，由公司所在地人民法院處理。If there is a dispute on implementation of this agreement, Party A and Party B should be settled through friendly consultations; otherwise by the local peoples court in the area of the company, if negotiation fails.
第七條本協(xié)議一式兩份，甲、乙雙方各執(zhí)一份，每份具同等效力。

The lessee herby convenants with lessor as following:
1. To pay to the lessor the rent hereby reserved in the manner before mentioned.
2. That the lessee shall not at any time during the terms, without the consent in writing of the lessor, pull down, damages or make any structure alterations to the demised premeses provided always, the lessee shall have go write install any fixtures and fittings excluding air-conditioners in the demised premeses, to detach and repossess the same subject to the restoration of the demised premeses to their original state at his cost (reasonable wear and tear excepted) on the expiry of this lease or any renewal hereof.

1. To pay all existing and future rate, taxes assessments and other charges of a public nature whether impose by the municipality, government or any other authority in respect of demised premises.
2. Not to erect or set up a building or structure on the demises premises nor to add to any existing building or structure during the period of lease or any renewal without the written consent of the lessee.

4.3 租金以人民幣為單位用現(xiàn)鈔支付。如以支票支付，所發(fā)生的費(fèi)用由乙方負(fù)擔(dān)。

五、押金：
deposit:

5.2 乙方如在租賃期內(nèi)終止租約，押金不予退還。
if party b stops the tenancy agreement before the date of expiry, party a is not required to return the said deposit.
5.3 乙方如違反合同規(guī)定，致使甲方未能如期收取租金或因而發(fā)生費(fèi)用開(kāi)支，甲方可以扣留部分或全部押金抵付。
if party b breaks any part of this contract, such as not paying the rent punctually, or if party b caused damages to the leased property, party a has the right to retain part or all of the deposit in compensation.
5.4 發(fā)生5.3條款情形，押金不足抵付時(shí)，乙方必須按接到甲方付款通知后十天內(nèi)補(bǔ)足。
if clause 5.3 is brought into effect, and the said deposit is insufficient to cover party as costs, party b should pay the extra to party a within ten days of receipt of party as payment.
5.5 押金以人民幣為單位，用現(xiàn)鈔支付。如以支票支付，所發(fā)生的費(fèi)用由乙方承擔(dān)。

六、其它費(fèi)用：

6.1 乙方在租賃期內(nèi)所用的水、電和煤氣費(fèi)用，每月按實(shí)際耗用量結(jié)算，乙方按單繳付。
during the period of the tenancy, all charges for use of water, electricity and gas are payable by party b monthly according to consumption, and on receipt of bills.
6.2 乙方所用電話(huà)按電訊局收費(fèi)標(biāo)準(zhǔn)，每月根據(jù)實(shí)際用量結(jié)算，乙方按單繳付。
all telephone charges are payable by party b monthly according to the telecommunications bureau standard tariffs, and according to bills received.
6.3 租賃標(biāo)的的物業(yè)管理費(fèi)由______方按照大廈管理規(guī)章，負(fù)責(zé)按單繳付。

七、乙方責(zé)任：
tenants responsibilities:
7.1 乙方應(yīng)按本合同四、五、六條款規(guī)定交付租金、押金和各項(xiàng)費(fèi)用，如有拖欠，則作違約論。

7.2 租賃期內(nèi)，未經(jīng)甲方同意，乙方不能轉(zhuǎn)讓其所租房屋，私自轉(zhuǎn)讓無(wú)效。
during the period of tenancy, unless with the agreement of party a, party b cannot sub-let or let in part or in full the leased property.
7.3 乙方應(yīng)愛(ài)護(hù)房屋及其設(shè)備，如因使用不當(dāng)導(dǎo)致?lián)p壞負(fù)責(zé)賠償。
party b must return the property and its contents to party a in good and workable condition, otherwise party b must pay compensation to party______.
7.4 在房屋內(nèi)已有的`裝飾和設(shè)備之外，乙方如需增加設(shè)備或其它裝飾須征得甲方同意。租賃期滿(mǎn)必須恢復(fù)原狀，并承擔(dān)其費(fèi)用，經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。

九、其它：
